REAL ESTATE ACQUISITION, DEVELOPMENT & CONSTRUCTION

Campbell ’s real estate practice encompasses all aspects of real estate activity. We represent regional & national developers, lenders, landlords and tenants, title insurers, property management companies and other parties in development, purchase and sale, financing and leasing transactions. We also provide expertise in the areas of land use, zoning and entitlement matters. We commonly counsel our clients with respect to traditional acquisition and construction loans, gap financing, mezzanine financing, bridge loans and permanent financing, and legal entity structure and organization related to real estate projects.

ACQUISITION AND FINANCING

Campbell handles both small and large real estate transactions and related financing structures; from simple vacant land transactions and residential purchases to complex office building and multi-property transactions. Our experience includes expertise in (i) drafting and negotiating acquisition contracts and applicable easements, deeds, assignments and bills of sale, (ii) conducting all legal due diligence, including title review, review of environmental reports, zoning, use and entitlement rights, and review of existing leases, (iii) structuring the legal entities and partner rights and obligations with respect to the project, (iv) structuring and negotiating any financing required for the acquisition, (v) assisting with tax free (1031) exchanges including providing contacts and negotiating or drafting the essential documents, and (vi) limiting, or if required prosecuting and defending, against claims arising in connection with a transaction, including earnest money disputes.

DEVELOPMENT PROJECTS

Our lawyers have substantial experience in the structuring of major real estate developments, particularly in organizing the appropriate entity and lending structure associated with major real estate developments. In this area we represent:

  • Gateway Business Park, which is a 1,200 acre multi-use development in the Denver metropolitan area.
  • Glenborough-Pauls, LLC, which owns and develops several multi-use developments in the San Francisco, California area.
  • A hotel management and development company with hotel development projects throughout the United States.
  • Multiple apartment and single-family residential developments in the Denver metropolitan area.

CONSTRUCTION

We assist our clients in all aspects of a construction projects , including, the contracting structure, negotiating and administering the contracts , and limiting and resolving any claims that may arise. Our experience includes (i) drafting and negotiating architecture, engineering, procurement, construction and financing contracts of all types, and (ii) prosecuting and defending against claims involving, mechanics’ liens, stop notices and construction defects.

LEASING

We represent a variety of landlord and tenant clients in both commercial and residential settings. We have extensive experience in lease drafting and negotiation from both the landlord and tenant perspective, including office, residential, industrial, retail and restaurant leases. We also assist and counsel clients with lease disputes including early termination and eviction.

OWNER’S ASSOCIATIONS, COVENANTS, AND CONDOMINIUMS

If you desire to set legal restrictions on the future use of your project, our lawyers will assist you in establishing covenants to protect the land. Our experience with covenants is extensive, from cross-easement agreements among adjoining landowners to complex covenants creating owners associations and architectural restrictions. We also can assist you with creating or converting a commercial or residential condominium project.

LAND USE/ZONING

Our attorneys can provide you with guidance and counsel for any land use or zoning issues. Our prior experience in this area has resulted in familiarity with governmental officials and processes in this area. Our experience includes minor replats and rezonings to assisting clients in developing master plans for planed unit developments. When applicable, we assist our clients in establishing and protecting vested rights with respect to desired uses for their property. Currently we are working for a group of Denver television stations on a high-profile land use issue for the right to construct HDTV antennae on the property of the group.
