Real Estate - Purchase and sale transactions for multi-story office buildings, industrial warehouses, vacant land, ranches and residential; title, survey, contract and lease review in connection with sales and purchases; representation of both landlord and tenant with respect to office, industrial, retail and residential leases; drafting of construction and build-to-suit documents; common interest community document preparation and review; drafting of easements and private covenants, including joint access agreements and party-wall agreements; representation of residential, industrial and hotel developers from acquisition through sale of final product (including land use and planning issues, subdivision, etc).
Finance/Lending - Representation of both lenders and borrowers in connection with real estate acquisition, construction, permanent and mini-permanent financing; Negotiation and drafting of complex private equity and lending financing arrangements; lender and borrower representation with respect to operating lines of credit and term debt; representation of a non-profit lender in connection with real estate and corporate debt offerings.
Corporate - Entity creation including, corporations, partnerships, limited partnerships, limited liability companies, limited liability limited partnerships; Entity maintenance; Representation of both purchaser and seller with respect to purchase and sale of businesses through asset and stock transactions; corporate reorganizations.
General Contract - employment contracts; covenants not to compete; confidentiality agreements; shipping agreements; production and manufacturing contracts; waivers and releases; product license and sale agreements.
Estate Planning and Probate - preparation of wills, inter vivos and testamentary trusts, insurance trusts, living wills and powers of attorney.
Prior to joining Campbell Killin Brittan & Ray, LLC, Kevin was an attorney with the law firm of Dorsey & Whitney. Before that he was an associate with the firm of Lottner, Rubin and Fishman. During law school, Kevin was judicial clerk to the Honorable John W. Coughlin, State District Court (civil), Denver , Colorado . Prior to law school, he worked as a manager and business analyst for Dun & Bradstreet Corporation (Apr.1988 - Aug. 1990).
